Statute of the Foundation
CHAPTER I
GENERAL PROVISIONS
§ 1.
The Emic Foundation, hereinafter referred to as the "Foundation", in addition to its full name, may use the abbreviation Emic and the logotype
§ 2.
The area of operation of the Foundation is the territory of the Republic of Poland
§ 3.
For the proper implementation of its statutory objectives, the Foundation may operate outside the borders of the Republic of Poland in accordance with applicable legal regulations
§ 4.
For the purposes of cooperation with foreign countries, the Foundation may use a translation of its name in selected foreign languages.
§ 5.
The seat of the Foundation is the city of Toruń
§ 6. The minister responsible for the objectives of the Foundation is the Minister of Family, Labor and Social Policy
§ 7.
The Foundation may establish other organizational units and join other national and international organizations associating entities with similar objectives. The Management Board decides on joining the organizations referred to in paragraph 1 or leaving them by adopting a resolution.
§ 8.
The Foundation conducts non-profit public benefit activities and paid public benefit activities and/or economic activities, the income from which is entirely allocated to statutory activities.
§ 9.
1. The Foundation may establish and award certificates, prizes, titles, medals and other honorary distinctions to persons, entities and institutions distinguished for the purposes chosen by the Foundation or for itself.
2. The Foundation may make donations in kind and cash to natural persons and legal entities for purposes consistent with the statutory objectives of the Foundation.
3. The Foundation may provide subsidies and financial support on the basis of regranting and scholarships, provided that these activities are consistent with the statutory objectives of the Foundation.
§ 10.
The Foundation is a non-governmental organization conducting public benefit activities within the meaning of the Act on Public Benefit Activities and Volunteering, which conducts socially useful activities in the sphere of public tasks for the benefit of the entire community.
The objectives of the Foundation are:
1) Development and promotion of anthropological and social sciences.
2) Development and support of social and educational activities for culture, intercultural dialogue and cultural heritage.
3) Activities for the integration of foreigners and activities for the benefit of national and ethnic minorities and regional language; including: support for the adaptation and integration of adult and minor foreigners in Poland, including re-emigrants and other persons of Polish origin, and persons with an unregulated legal status.
4) Activities for families and people in difficult life situations and at risk of social exclusion, including foreigners and people with disabilities, including: providing social, legal, psychological and housing assistance, supporting health care, conducting integration, reintegration and professional and social activation, charitable and humanitarian activities and all other activities aimed at equalizing the opportunities of these families and people and reducing their exclusion.
5) Activities in the field of science and education, including activities addressed to various age and social groups, and activities in the field of education and upbringing of children and youth.
6) Comprehensive activities for children and youth, including those with migration experience, as well as activities for the family, promotion and protection of children's rights.
7) Activities in the field of culture, art, protection of cultural assets and national heritage, including the organization of artistic events and supporting artistic activity in all its manifestations.
8) Promotion and protection of freedoms and human rights and civil liberties, as well as activities supporting the development of democracy, providing free legal assistance to foreigners and other persons and entities, increasing the legal awareness of society, providing free civic counseling and supporting the development of local communities and communities.
9) Activities in the field of promotion and organization of volunteering and activities for non-governmental organizations and entities listed in art. 3 sec. 3 of the Act on Public Benefit Activities and Volunteering, to the extent specified in points 1-32a.
§ 11.
The Foundation pursues its goals through:
1. Organizing and running information and advisory points for foreigners staying in Poland.
2. Providing free legal assistance to foreigners.
3. Providing legal, professional, psychological, social and civic advice and organizing Polish and foreign language courses (including tutoring and remedial classes) for adults and children.
4. Organizing cultural and educational events, meetings, trainings, conferences, exhibitions, workshops and film screenings in line with the Foundation’s objectives;
5. Conducting research, publishing, information and promotional activities in line with the Foundation’s objectives;
6. Cooperation with scientific and research institutions and other entities involved in education, culture, interculturalism, local and regional development in Poland and abroad;
7. Cooperation with public institutions, local governments and other facilities run by state and local government bodies in order to improve the quality of life of social groups, including ensuring equal rights.
8. Organizing internships, international exchanges, volunteering;
9. Activation of local communities in the development of social, cultural and integration initiatives;
10. Supporting the activities of legal or natural persons whose activities are consistent with the Foundation's goals;
11. Organization and management of the office;
12. Participation in projects that serve the development of the Foundation;
13. Other activities serving the implementation of the Foundation's goals.
§ 12.
1. The work of the Foundation is managed by the Management Board, which consists of 2 - 8 members, including the President of the Management Board.
2. The first composition of the Management Board of the Foundation is appointed by the Founder;
3. The Founder will be a member of the first Management Board;
4. Members of the Management Board are appointed and dismissed by members of the Management Board on the basis of resolutions adopted by a majority vote in the first vote, regardless of the number in the second vote. In the event of an equality of votes, the vote of the President of the Management Board shall be decisive;
5. Members of the Management Board may be employees of the Foundation, employed under an employment contract, a contract of mandate or a contract for specific work;
6. The Management Board may appoint subsequent members of the Management Board at the request of one of the current members;
7. Members of the Management Board may not have been convicted by a final judgment for an intentional offence prosecuted at the public prosecutor's office or a fiscal offence.
§ 13.
The competences of the Management Board include:
1. Managing the current activities of the Foundation;
2. Implementation of the statutory goals;
3. Preparation of work plans and budget;
4. Management of the Foundation's assets;
5. Representing the Foundation externally;
6. Hiring employees and setting their remuneration;
7. Decision to change the statute;
8. Decision to merge with another foundation;
9. Decision to liquidate the Foundation;
10. Establishing other bodies of the Foundation;
§ 14.
1. Meetings of the Management Board are held as needed, but no less frequently than once a year;
2. Meetings of the Management Board are convened by the President, sending information about their date by e-mail;
3. All members of the Management Board must be informed of the meeting;
4. The work of the Management Board is managed by the President, and in his absence, by a member of the Management Board indicated by him;
5. The Management Board makes decisions by means of resolutions by a simple majority of votes. In the event of an equal division of votes, the vote of the President of the Management Board is decisive;
§ 15.
1. The signature of the President of the Management Board or one member of the Management Board is required to make declarations of will;
2. Members of the Management Board are entitled to reimbursement of business travel expenses and other obligations resulting from the fulfillment of statutory duties;
§ 16.
Membership in the Management Board ceases as a result of:
1. Voluntary resignation, submitted in writing to the Management Board;
2. Loss of capacity to perform the function;
§ 17.
In particularly justified cases, a member of the Management Board may be dismissed as a result of a resolution adopted by the remaining members of the Foundation's Management Board
§ 17a
1. The Foundation has a collegial supervisory body, i.e. the Foundation Council. 2. The Foundation Council consists of at least two people. 3. The members of the first Council are appointed by the Founder by resolution. The next members of the Council to replace the persons who have ceased to perform this function and the next members are appointed by the Council by resolution, by a simple majority of votes. 4. Members of the Council perform their functions for an indefinite period, until they submit a written resignation or lose their ability to perform the function. 5. The Council elects the Chairman of the Council from among its members. The Chairman of the Council directs the work of the Council, represents it externally and convenes and chairs the meetings of the Council. 6. Members of the Foundation Council: a. cannot be members of the Management Board of the Foundation or be in a marital relationship, cohabitation, consanguinity, affinity or service subordination with members of the Management Board of the Foundation, b. cannot be convicted by a final judgment for an intentional crime prosecuted at the public prosecutor's office or a fiscal crime, c. may receive, for performing the function of a member of the Foundation Council, only reimbursement of justified costs of participation in meetings of the Foundation Council. 7. The Foundation Council meets at least once a year. 8. The Foundation Council makes decisions in the form of resolutions - by a simple majority of votes. In the event of an equal number of votes, the vote of the Chairman of the Council is decisive. 9. In performing its functions, the Foundation Council may use the opinions and assessments of specialists appointed for this purpose. 10. The tasks of the Council include in particular: a. Supervision of the Foundation's activities b. Approval of the Foundation's action programs
c. Adoption of annual financial reports and granting discharge to members of the Management Board
§ 18.
The assets of the Foundation consist of:
1. Assets transferred by the Founder in the foundation deed;
2. Cash, material and legal resources acquired in the course of the Foundation's activities;

§ 20.
It is prohibited to: 1. Grant loans or secure liabilities with the Foundation's assets in relation to its members, members of bodies or employees and persons with whom employees are married or in a relationship of kinship or affinity in a direct line, kinship or affinity in the collateral line up to the second degree or are related by adoption, care or guardianship, hereinafter referred to as "close persons"; 2. Transfer the Foundation's assets to the founder, members of bodies or employees and their close persons, on terms other than those applicable to third parties, in particular if such transfer is free of charge or on preferential terms; 3. Use the assets for the benefit of members, members of bodies or employees and their close persons on terms other than those applicable to third parties, unless such use directly results from the statutory purpose, 4. Purchase goods or services from entities in which members of the organization, members of its bodies or employees and their close persons participate, on terms other than those applicable to third parties or at prices higher than market prices.
§ 21.
1. The Foundation is established for an indefinite period. The Management Board of the Foundation shall adopt a resolution on the liquidation of the Foundation due to the exhaustion of its financial resources and assets;
2. Liquidation shall be conducted under the name of the Foundation with the addition of the designation "in liquidation";
3. The liquidators shall be members of the Management Board, who shall adopt resolutions by a simple majority of votes, unless the resolution on liquidation provides otherwise;
4. The Management Board shall notify the relevant minister of the liquidation of the Foundation.
